The Al Saif Gallery Investment Case

Investment Highlights

1

A Niche Where We Lead

We hold an advanced market position in kitchen tools, serveware, and specialized small household appliances in Saudi Arabia, supported by national distribution reach and control over product specification. This is not a broadly contested mass-retail category. It is a focused niche where our three decades of category expertise, owned-brand infrastructure, and service depth create barriers that are difficult to replicate.

2

Earnings Quality Rooted in Operations

In 2025, Al Saif Gallery delivered SAR 58 million in net profit, a 54.6% increase year-on-year, driven entirely by operational improvements. Revenue of SAR 758.8 million, a gross margin of 23.5%, and operating cash flow of SAR 78.7 million reflect the underlying earning power of the platform. The Company ended 2025 with cash and cash equivalents of SAR 25.9 million.

3

Proprietary Brand Margin Advantage

Approximately 88% of revenue flows through brands we own or exclusively hold. Direct sourcing from manufacturing partners enables gross margins on proprietary products that are structurally superior to the standard wholesale-retail model. The ongoing extension of the Edison brand into large appliances expands both revenue opportunity and margin mix.

4

Vision 2030 as Structural Tailwind

Saudi Arabia's housing boom, with homeownership rising from 47% in 2016 to 65.4% in 2024, with 660K+ new units in the pipeline and Sakani supporting 122K+ families in 2024, creates a durable demand tailwind for household essentials. Every new Saudi home requires a full kitchen outfitting.

5

Digital Acceleration with Operating Leverage

E-commerce grew 37% in 2025, contributing SAR 94 million (12.4% of revenue) through an app with 500K+ downloads. The digital channel operates with shared logistics and after-sales infrastructure, creating operating leverage as digital revenue grows within the existing physical footprint.

6

Professional Leadership at a Pivotal Moment

The appointment of CEO Ahmed bin Saleh Al Sultan in Dec 2024 marks a deliberate governance maturation step. His three-pillar strategic framework (customer experience, earnings quality, measured expansion) is already reflected in the 2025 results.

Frequently Asked Questions

About the Company

What does Alsaif Gallery do?

We sell household and electrical goods - kitchen appliances, cookware, serveware, thermoses, coffee makers, and related home products. Customers can shop in our physical showrooms or online at alsaifgallery.com

When was the company founded, and by whom?

Alsaif Gallery was founded in Riyadh in June 1993 by Sheikh Suleiman bin Mohammed Al-Saif, starting as a small, individually-owned business. It became a closed joint-stock company in 2014, and then a public company when it listed on the Saudi Exchange (Tadawul) in December 2022.

Where is the company based?

Our head office is in Riyadh, Kingdom of Saudi Arabia.

How many showrooms does the company have, and where?

73 showrooms in total as at the end of 2025: 66 across Saudi Arabia, and 7 in the Gulf - 3 in the UAE, 2 in Kuwait, 1 in Oman, and 1 in Qatar. Our first Gulf showroom opened in Abu Dhabi in 2023.

Does the company operate outside Saudi Arabia?

Yes. We wholly own (100%) four local companies that run our showrooms in the UAE, Kuwait, Oman, and Qatar, all trading under the Alsaif Gallery name.

Our Shares

Is Alsaif Gallery a listed (public) company?

Yes. We have been listed on the Main Market of the Saudi Exchange (Tadawul) since 27 December 2022, under stock symbol 4192.

What percentage of the company was offered to the public at listing?

About 30% of the Company's shares were offered to investors in the December 2022 initial public offering (IPO).

Why do today's share price and par value look different from the IPO price?

At the IPO, each share had a par value of SAR 10 and was offered at SAR 115. In 2023, shareholders approved splitting every SAR 10 share into 10 shares of SAR 1 each (similar to a stock split). That is why the Company now has 350 million shares with a SAR 1 par value, rather than 35 million shares at SAR 10 - the total value of the Company did not change, only the number and price of individual shares.

Who owns most of the shares?

Our founder and Chairman, Suleiman bin Mohammed Al-Saif, holds 62.5%. Other individual family shareholders hold about 7.5%. The remaining roughly 30% - known as the "free float" - is held by the public and is what trades on the market day to day.

Are most shareholders local or international?

Saudi investors hold about 94% of the shares and foreign investors hold about 6%. By type of investor, individual (retail) investors hold about 88%, companies and institutions hold about 10%, and licensed foreign institutional investors hold about 1%.

Where can I check the current share price?

On the Saudi Exchange (Tadawul) website under symbol 4192, or on your broker's trading app during market hours.

How to Invest

How do I buy or sell Alsaif Gallery shares?

The same way you would buy any Saudi-listed stock: open an investment account with a CMA-licensed broker or bank, get your National Investor Number (NIN) if you don't already have one, and then place an order for symbol 4192. Your broker can walk you through the exact steps.

Is there a minimum number of shares I need to buy?

Alsaif Gallery does not set a special minimum. Normal Tadawul trading rules apply, and your broker can confirm any account or order requirements.

Financial Results & Reporting

What is the Company's financial year?

It runs from 1 January to 31 December each year.

How often does the Company report its results?

Every quarter, we publish interim (unaudited or reviewed) financial statements. Once a year, we publish full audited annual financial statements together with an Annual Report. All of these are filed on Tadawul.

What accounting rules does the Company follow?

We prepare our financial statements under International Financial Reporting Standards (IFRS), as endorsed in Saudi Arabia.

Does the Company rely mostly on Saudi Arabia or other Gulf countries?

About 92% of 2025 revenue came from Saudi Arabia and about 8% came from GCC markets (UAE, Kuwait, Oman, and Qatar).

Who checks (audits) the Company's numbers?

An independent, CMA-recognized audit firm, PKF Al-Bassam (Ibrahim Ahmed Al-Bassam & Co.), audits our accounts each year.

Where can I read the full financial statements and Annual Report?

On the Saudi Exchange (Tadawul) website, under our company page, and in the Investor Relations section of alsaifgallery.com.

Dividends

Does Alsaif Gallery pay dividends?

We have paid cash dividends to shareholders in the past. Whether we pay one in future depends on our results, cash needs, and Board and shareholder approval - past dividends are not a promise of future ones.

How is a dividend decided and paid?

The Board of Directors proposes a dividend, and shareholders approve it at a General Assembly meeting. Dividends can be proposed quarterly, semi-annually, or annually. Announcements are always published on Tadawul first.

Was a dividend declared for 2025?

As at the date the 2025 audited financial statements were finalized (16 February 2026), no dividend had been declared for the 2025 financial year. The most recent dividend disclosed before that was SAR 0.10 per share, paid for the second quarter of 2023. Please check Tadawul for the latest dividend announcements, as these are made throughout the year.

What is the Company's dividend policy?

Our policy is to pay dividends out of distributable profit - that is, profit left over after we set aside any legally required reserves - while also considering our cash and investment needs, legal requirements under the Companies Law and our By-laws, and general economic and business conditions at the time. As a guide, between 2019 and 2021 (before our IPO) we paid out an average of about 70% of profits as dividends. This is historical information, not a target or a promise - the Board decides each payout based on that year's actual circumstances.

This is a description of our dividend process, not a promise about future amounts or timing. Each decision depends on that year's results and cash needs.

Corporate Governance

Who runs the Company day to day?

The Chief Executive Officer is Ahmad bin Saleh Al-Sultan (in role since 2024), and the Chief Financial Officer is Mu'ataz Ali Al-Ashqar (in role since 2021). They report to the Board of Directors.

Who sits on the Board of Directors, and is it independent?

The Board has 6 members, chaired by our founder, Suleiman bin Mohammed Al-Saif. Two members (about a third of the Board) are independent directors with no ties to the founding family, and four members (two-thirds, including the independents) are non-executive.

What committees oversee the Company?

An Audit Committee (which reviews the accounts, internal controls, and risk) and a Nominations and Remuneration Committee (which oversees Board appointments and pay). Both are chaired by independent directors.

Does the Company follow good governance practices?

Yes. We follow the Capital Market Authority (CMA) Corporate Governance Regulations, applying almost all of its requirements. A small number of guidance-level items are not yet applied - for example, an external (outside-party) review of Board performance every three years, and a separate Risk Management Committee (this role is currently handled by the Audit Committee) - and these are explained in our governance disclosures.

Were there any fines or major lawsuits against the Company in 2025?

No. The Board confirmed that no fines, penalties, or disciplinary actions were issued against the Company, its directors, or executives during 2025, and there was no material ongoing litigation.

Community & Sustainability

Does the Company give back to the community?

Yes, through "Awani Al-Khair," our recurring donation program. Customers can donate surplus household items and appliances at our showrooms, which licensed charities then distribute to families in need. The 2024 edition of the program delivered more than 425,000 household items across the Kingdom, and a fourth edition ran in 2025.

Does the Company support Saudi employment (Saudization)?

Yes. We continue to grow the share of Saudi nationals across our showrooms, management, and leadership roles, alongside structured training for our roughly 1,280 employees.

Where to Find Official Information

Where are the Company's official announcements published?

All material news, financial filings, and corporate disclosures are published first on the Saudi Exchange (Tadawul) website. Treat Tadawul as our primary, most reliable source for anything official.
